Abstract

6102 sayılı Türk Ticaret Kanunu'nun 531. maddesi ile anonim şirketlerde haklı sebeple fesih kurumu ilk kez açık bir kanun hükmü olarak düzenlenmiş ve belirli şartların varlığı hâlinde azınlık pay sahiplerine şirketin feshini talep etme hakkı tanınmıştır. Bununla birlikte kanun koyucu, haklı sebep kavramının kapsamı ve sınırlarını belirlememiş; bu hususun somut olayın özellikleri dikkate alınarak hâkim tarafından değerlendirilmesini tercih etmiştir. Bu çalışmada anonim şirketin haklı sebeple feshi kurumu, haklı sebep kavramı ile hâkimin takdir yetkisi ekseninde incelenmiştir. İnceleme kapsamında öncelikle haklı sebebin hukukî niteliği ile objektiflik, süreklilik, ortaklık ilişkisinin çekilmez hâle gelmesi ve feshin son çare olması ilkesi çerçevesinde unsurları değerlendirilmiştir. Ardından haklı sebep ile kusur arasındaki ilişki ve şahsî sebeplerin haklı sebep oluşturup oluşturamayacağı, öğretide ileri sürülen görüşler ve yargı kararları ışığında ele alınmıştır. Bunun yanında, çoğunluk gücünün kötüye kullanılması, pay sahipliği haklarının ihlali, şirket organlarının işleyemez hâle gelmesi ve ortaklık ilişkisinin objektif olarak sürdürülemez duruma gelmesi gibi haklı sebep oluşturabilecek başlıca hâller sistematik biçimde incelenmiştir. Son olarak, TTK m. 531 uyarınca hâkime tanınan takdir yetkisinin kapsamı değerlendirilmiş; şirket feshinin son çare niteliğinde istisnai bir hukukî sonuç olduğu ve fesih yerine uygulanabilecek alternatif hukukî çözüm yollarının öncelikle dikkate alınması gerektiği ortaya konulmuştur. Çalışmada, haklı sebebin belirlenmesinde tek bir olaya dayanılmasının yeterli olmadığı; somut olayın tüm özelliklerinin dürüstlük kuralı ve şirketin devamlılığı ilkesi çerçevesinde birlikte değerlendirilmesi gerektiği sonucuna ulaşılmıştır. Bu doğrultuda, hâkimin takdir yetkisinin yalnızca haklı sebebin varlığını tespit etmekle sınırlı olmadığı; aynı zamanda tarafların menfaatlerini dengeleyecek ve şirketin devamlılığını mümkün olduğunca koruyacak en uygun çözüm yolunu belirlemeyi de kapsadığı değerlendirilmiştir. Bunun yanında, çalışmada haklı sebebin münferit olayların toplamı olarak değil; objektiflik, süreklilik, ortaklık ilişkisinin çekilmez hâle gelmesi ve feshin son çare olması ölçütlerinin birlikte değerlendirilmesiyle belirlenen bütüncül bir hukukî nitelendirme olduğu sonucuna ulaşılmıştır.

Abstract

Under Article 531 of the Turkish Commercial Code No. 6102, the institution of dissolution for just cause in public limited companies was regulated for the first time as an explicit statutory provision, and minority shareholders were granted the right to request the dissolution of the company subject to certain conditions. However, the legislature has not defined the scope and limits of the concept of ‘just cause’; instead, it has opted for this matter to be assessed by the court, taking into account the specific circumstances of the case. In this study, the institution of the dissolution of a public limited company on just cause has been examined in the context of the concept of just cause and the judge’s discretion. As part of this examination, the legal nature of just cause was first assessed, along with its elements within the framework of objectivity, continuity, the partnership relationship becoming intolerable, and the principle that dissolution must be a last resort. Subsequently, the relationship between just cause and fault, and whether personal reasons can constitute just cause, were addressed in the light of views put forward in legal scholarship and judicial decisions. In addition, the main circumstances that may constitute just cause—such as the abuse of majority power, the infringement of shareholders’ rights, the paralysis of the company’s governing bodies, and the partnership relationship becoming objectively unsustainable—were examined systematically. Finally, the scope of the discretion granted to the court under Article 531 of the Turkish Commercial Code has been assessed; it has been established that the dissolution of a company is an exceptional legal consequence of last resort, and that alternative legal remedies that could be applied in lieu of dissolution must be given priority. The study concluded that relying on a single incident is not sufficient for determining just cause; rather, all the characteristics of the specific case must be assessed collectively within the framework of the rule of good faith and the principle of corporate continuity. In this regard, it was assessed that the judge’s discretion is not limited merely to establishing the existence of just cause; it also encompasses determining the most appropriate course of action that will balance the interests of the parties and preserve the continuity of the company as far as possible. Furthermore, the study concluded that just cause is not merely the sum of individual incidents; rather, it constitutes a holistic legal assessment determined by the combined evaluation of the criteria of objectivity, continuity, the partnership relationship having become intolerable, and termination being a last resort.
