Abstract

Globalization, as a way to increase the opportunity to open up foreign investment, many developing countries are not benefiting fully from foreign investment, such as Turkey. One of the main reasons for this is inactive corporate governance. Turkey can learn a lot from a well-established practice of some developed countries like the United Kingdom, which has an effective corporate governance framework. In Turkey, the implementation of more effective and rule-making rules and principles of the UK should follow the example of law enforcement force. The principal aim of the paper is to discuss the corporate governance implementation in Turkey and offer some recommendations for improvement. The problems of Turkish Corporate Governance are mainly due to the ownership structure of Turkish companies with family ownership. In the study, the arrangements made in the context of UK corporate governance will be examinedand then results will be drawn. In Turkey revision of codes is not done regularly enough. More over, the law enforcement is not effective and the ownership structure is not suitable for corporate governance.
