Abstract
Son yıllarda girerek artan şirket birleşmeleri, firmaların dışsal büyüme ve küresel rekabet ortamında ayakta kalmak için başvurduğu bir yoldur. Birleşme sayesinde şirketler hem daha geniş müşteri ve pazar kesimine hitap edebilmekte, hem de güç birliği yaparak gerek üretimde, gerekse hizmet sunumunda daha güçlü hale gelebilmektedir. Öte yandan birleşmelerin hepsi başarılı sonuçlar vermemekle birlikte, yanlış yapılan ya da mevzuata uygun şekilde yapılmayan birleşmeler, şirketler için ciddi ve telafisi mümkün olmayan sonuçları da beraberinde getirebilmektedir. Bu nedenle şirket birleşmeleri ile ilgili özellikle yasal çerçevenin iyi bir şekilde analiz edilmesi ve anlaşılması, birleşmeye bu şekilde başlanması gerekmektedir. Bu araştırmada şirket birleşmelerine ilişkin yasal mevzuatın incelenmesi ve önemli hususlar üzerinde durulması, Türkiye’deki mevcut durumun AB ülkeleri ile kıyaslanması amaçlanmıştır. Araştırmada elde edilen sonuçlara göre mevcut düzenlemelerde rekabete ilişkin hususların netleştirilmesi ve şirketler tarafından anlaşılması, birleşmelerin pozitif yönde ve yüksek katkıda olmasına olanak verebilir.

Abstract
The increasing number of company mergers in recent years is a way for firms to survive in the external growth and global competition environment. AS a result of the merger, companies can address both wider customer and market segments and become stronger in production and service delivery. On the other hand, all of the mergers do not yield successful results, but misconducts or mergers that are not done in accordance with the legislation can bring serious and irreversible consequences for the companies. For this reason, it is necessary to start to unite and analyze the legal framework especially concerning the company mergers in a good way. Studying the legislation and focus on important issues concerning mergers In this study, we aimed to compare the current situation in Turkey with the EU countries. According to the results obtained in the research, clarification and understanding by the companies of the issues related to the regulations in the current regulations may allow the associations to be positive and highly contributed.
